Objective: 

This course will enable the students to create understanding about the role and importance of Indian Contract Act, 1872 related to business administration, explain the concept of a company and distinguish among various types of companies and Disseminate knowledge among students about the authorities and bodies involved in the legal system in India.

CO187: Evaluate the provisions of the Indian Contract Act 1872.

CO188: Explain the provisions of competency to contract, free Consent, performance of Contract, discharge, and breach of contracts.

CO189: Analyze the aspects of special contracts and associated rights and features under the Indian Contract Act 1872.

CO190: Classify the public and private companies and explain the contents of Memorandum, Articles of Association and directorial roles under the The Companies Act 2013

The Indian Contract Act 1872:

Meaning and Essentials of contract; Kinds of contract-Based on: validity, formation & performance, law relating to offer and acceptance & characteristics of consideration.

Performance of contract: Competency to contract, free consent, Void agreements, performance of contracts: meaning, modes of performance, persons entitled to demand performance, discharge of contracts, breach of contracts.

Special contracts: contract of indemnity: meaning, valid essentials, rights of indemnifier and indemnity holder. Contract of guarantee: Meaning, valid essentials, kinds of guarantee. Bailment-features and types of bailment and Agency-concept, types of agency.

The Companies Act 2013: Meaning, Classification, privileges given to independent private company, Incorporation, Memorandum of Association and its contents & Articles of association: features, contents, Doctrine of Ultra vires, Contents of articles of public limited company, position of directors

Sale of Goods Act 1930, Consumer Protection Act 1986: Sale of Goods Act 1930: Sale and agreement to sell, rights of unpaid seller. Consumer Protection Act 1986: Objectives, Consumer protection councils, dispute redressal agencies, district forum, state commission, central commission, differences, rights of consumers.
